If I own Teradata shares, why didn't I receive a stock certificate?

The distribution of Teradata stock took place on September 30, 2007 to NCR shareholders of record as of close of business on September 14, 2007. The shares were distributed in book-entry form in lieu of certificate form. Teradata does not issue physical certificates.

Why did Teradata distribute shares in book-entry form and not issue certificates?

Teradata shares were distributed in book-entry form for several reasons:

  • Book-entry through Direct Registration has become the new standard in share ownership.
  • It supports the U.S. Securities Industry's overall direction towards statement-based share ownership.
  • It eliminates the risk and expense associated with the safe-keeping or replacement of a physical stock certificate.
  • It provided considerable savings in distribution costs to Teradata and NCR.
  • It allows for convenient electronic share transactions, such as ownership transfer and sales, through Teradata's transfer agent and your bank or broker.

What is Direct Registration?

Direct Registration, also known as book-entry, is a Securities Industry initiative that provides for share ownership without the need to hold physical certificates. Shareholders holding shares in book-entry form have all of the traditional rights and privileges afforded to registered or certified shareholders, without the risk of losing or damaging certificates.

I prefer having a physical stock certificate to holding shares in book-entry. Is this possible?

No. Teradata is not issuing physical (paper) stock certificates. Teradata’s Company Bylaws allow the Company to issue uncertificated shares of stock.

If I do not have a stock certificate for my Teradata shares, how will I have a record of ownership?

Distribution Statements were mailed to recipients of Teradata shares in early October 2007. If you own your shares in a registered account at the Transfer Agent, you may obtain an account statement by calling Teradata Shareholder Services at 1-888-730-8825 or you may view your account on-line at www.computershare.com/investor.

I am being told that NCR gave instructions to pay-out (sell) any fractional shares held by its stockholders in connection with the Teradata spin-off. Is this true?

The distribution of shares of Teradata Corporation stock in connection with the spin-off was made on a one for one basis. Each record shareholder received one share of Teradata common stock for each share of NCR common stock held as of the record date for the distribution, September 14, 2007. If you hold your shares in a record account with Teradata's transfer agent, Computershare Trust Company, N.A., you received whole and fractional shares. (For example, if you owned 12.2 shares of NCR stock as of the spin-off record date, you received 12.2 shares of Teradata stock in the distribution, which are in addition to the 12.2 shares of NCR stock you continue to own.)

If you owned your shares of NCR stock prior to the spin-off through a bank or broker, you may not receive fractional shares of Teradata stock in connection with the spin-off distribution. In many cases, brokers do not distribute fractional shares in connection with spin off transactions. Instead, brokerage firms pay their clients cash in lieu of posting the fraction of a share. If your broker did not credit your account for fractional shares, you will need to contact your broker for their specific procedures regarding fractional shares. NCR did not give instructions for brokers to cash out (sell) fractional shares. Brokerage firms set their own policies regarding fractional shares.
