If I own Teradata shares, why didn't I receive a stock certificate?

Teradata does not issue physical stock certificates.

In conjunction with the company's spin-off from NCR Corporation on September 30, 2007, shares of Teradata Corporation were issued to NCR shareholders on a one for one basis. NCR shareholders received one share of Teradata Corporation stock for each share of NCR Corporation stock owned. These shares were distributed in book-entry form in lieu of the company issuing physical stock certificates.

Why did Teradata distribute shares in book-entry form and not issue certificates?

Teradata shares were distributed in book-entry form for several reasons:
Book-entry through Direct Registration has become the new standard in share ownership.
It supports the U.S. Securities Industry's overall direction towards statement-based share ownership.
It eliminates the risk and expense for the shareholder associated with the safe-keeping or replacement of a physical stock certificate if lost or misplaced.
It allows for convenient electronic share transactions, such as ownership transfer and sales, through Teradata's transfer agent or a shareholder's bank or broker.

What is Direct Registration?

Direct Registration, also known as book-entry, is a Securities Industry initiative that provides for share ownership without the need to hold physical certificates. Shareholders holding shares in book-entry form have all of the traditional rights and privileges afforded to registered or certified shareholders, without the risk of losing or damaging certificates.

No. Teradata does not issue physical (paper) stock certificates. Teradata’s Company Bylaws allow the Company to issue uncertificated shares of stock.

If you hold your shares in a record account with Teradata's transfer agent, Computershare Trust Company, N.A., you received whole and fractional shares. (For example, if you owned 12.2 shares of NCR stock as of the spin-off record date, you received 12.2 shares of Teradata stock in the distribution, which are in addition to the 12.2 shares of NCR stock you continue to own.)
